Terms of Use
These Terms govern access to and use of VendorMatch, including customer accounts, vendor listings, enquiries, quotes, messaging, reviews, subscriptions and related marketplace features.

1. About VendorMatch
VendorMatch is an online marketplace that helps customers discover, compare and communicate with independent event businesses and service providers. References to VendorMatch, we, us or our mean the operator of vendormatch.com.au.
You can contact us at support@vendormatch.com.au.
2. Acceptance of these Terms
By creating an account, listing a business, sending an enquiry, submitting or accepting a quote, purchasing a VendorMatch subscription, or otherwise using the platform, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and legally capable of entering into binding agreements to create an account or transact through the marketplace. If you use VendorMatch for a business or other entity, you confirm that you have authority to bind that entity.
3. VendorMatch is a marketplace, not the service provider
VendorMatch provides technology that enables customers and vendors to find and communicate with each other. Unless we expressly state otherwise, VendorMatch does not provide the event services advertised by vendors and is not the employer, agent, partner, joint venturer, contractor or representative of any vendor or customer.
Vendors are independent businesses responsible for their own services, pricing, availability, licences, permits, insurance, qualifications, taxes, employees, subcontractors, equipment, safety obligations and compliance with law.
A contract for event services is between the customer and the vendor. VendorMatch is not a party to that service contract merely because the parties met, messaged, quoted, accepted a quote or recorded a booking through VendorMatch.
4. Payments between customers and vendors
Deposits, balances, refunds and other amounts relating to a vendor's services are arranged and paid directly between the customer and the vendor using payment methods agreed between them. A button or status within VendorMatch such as “deposit paid”, “deposit received” or “booking confirmed” is a workflow record only and does not mean that VendorMatch has received, verified, guaranteed or controlled that payment.
Customers are responsible for checking the recipient, bank details, payment instructions and legitimacy of a payment request before sending money. Vendors are responsible for verifying that funds have actually cleared before treating a payment as received.
Any dispute concerning a vendor payment, deposit, refund, chargeback, cancellation fee, non-delivery or payment reversal is primarily between the customer, vendor and any payment provider or financial institution involved. VendorMatch may provide platform records or reasonable support but is not responsible for administering or funding refunds for payments that VendorMatch did not receive.
This section does not exclude any responsibility VendorMatch has under law for its own conduct and does not limit rights that cannot lawfully be excluded.
5. VendorMatch subscription payments
Payments for VendorMatch's own paid vendor plans or platform features are separate from payments for event services. VendorMatch may use a third-party payment processor, such as Stripe, to process subscription fees payable to VendorMatch.
The price, billing period, trial period and included features shown at signup or checkout form part of these Terms. If a free trial converts to a paid subscription, the conversion date and price will be shown before the vendor authorises the payment method. Vendors may cancel future renewal using the billing tools made available by VendorMatch.
Unless required by law or expressly stated otherwise, subscription charges already incurred are not refundable simply because a vendor changes their mind or does not use the service.
6. Enquiries, quotes and bookings
Customers may submit event details and quote requests to vendors. Vendors may respond using VendorMatch's quote tools or by uploading their own PDF quote.
VendorMatch does not verify that a quote is complete, accurate, suitable or commercially reasonable. Vendors are responsible for all terms in their quotes, including pricing, inclusions, exclusions, deposits, expiry dates, cancellation terms and any uploaded PDF.
Accepting a quote through VendorMatch records the customer's acceptance within the platform. The legal effect of that acceptance, and any additional vendor terms that apply, depends on the circumstances and applicable law. Customers should read the full quote and any attached PDF before accepting.
If a vendor revises a previously accepted quote through VendorMatch, the platform may return the quote to a review state and require the customer to accept the revised version again.
7. Vendor obligations
Vendors must:
- provide accurate and current business and listing information;
- only offer services they are legally entitled and reasonably able to provide;
- honour representations made in listings, messages and quotes;
- maintain any licences, registrations, approvals and insurance required for their services;
- comply with the Australian Consumer Law and other applicable laws;
- not misrepresent qualifications, experience, availability, pricing or reviews;
- keep account credentials secure and prevent unauthorised account use;
- protect customer information obtained through VendorMatch and use it only for legitimate marketplace and service purposes; and
- deal directly and fairly with customers regarding service delivery, cancellations, refunds and disputes.
VendorMatch may ask a vendor to provide information reasonably needed to verify a listing, investigate a complaint or protect platform users.
8. Customer obligations
Customers must:
- provide accurate event and contact information;
- use enquiries and messaging for genuine event-service purposes;
- review a vendor's profile, quote and terms before committing;
- make their own assessment of a vendor's suitability, insurance, licences, qualifications and reputation where relevant;
- pay vendors only through payment methods they have independently verified; and
- communicate respectfully and comply with applicable law.
9. Listings, ranking and marketplace presentation
Vendor listings are primarily based on information supplied by vendors. VendorMatch may format, categorise or moderate listing information but does not guarantee that every listing is complete, accurate or current.
Search and discovery results may take into account factors such as category, service area, location, relevance, profile completeness, availability, marketplace activity, subscription status and paid ranking or priority features. A higher position is not an endorsement, certification or guarantee of quality.
10. Reviews and ratings
VendorMatch may allow eligible customers to publish ratings and reviews following a booking or other qualifying marketplace activity. Review eligibility controls are intended to reduce misuse but do not guarantee that every statement in a review is objectively correct.
Reviews must reflect genuine experiences and must not be fake, purchased, manipulated, defamatory, threatening, discriminatory, unlawful or posted by a vendor about themselves. Vendors must not pressure customers to provide misleading reviews.
We may remove, restrict or investigate reviews where reasonably necessary to enforce these Terms, comply with law or protect users.
11. Messages and user content
You remain responsible for content you submit to VendorMatch, including messages, listing text, photos, quote PDFs, reviews and responses.
You grant VendorMatch a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format and display that content only to the extent reasonably necessary to operate, secure, promote and improve the marketplace and provide the features you request.
You must not upload content that infringes another person's rights, contains malware, is fraudulent, unlawful, abusive or unsafe, or includes personal information you have no right to disclose.
12. Prohibited conduct
You must not:
- use VendorMatch for fraud, scams, money laundering or unlawful activity;
- impersonate another person or business;
- attempt to gain unauthorised access to accounts, systems or data;
- scrape, crawl, copy or systematically extract marketplace data except as permitted by law or with our written permission;
- interfere with platform security or availability;
- send spam, abusive messages or unsolicited commercial communications;
- upload malicious files or deceptive payment instructions; or
- use VendorMatch in a way that could expose us or other users to legal or security risk.
13. Moderation, suspension and account closure
We may investigate reports and may remove content, restrict features, suspend or close an account where we reasonably believe this is necessary to protect users, comply with law, respond to fraud or security concerns, or address a material breach of these Terms.
Where reasonably practicable, we will consider the seriousness of the issue and provide notice or an opportunity to respond. Nothing in this section requires us to continue providing access where doing so would create a legal, safety, fraud or security risk.
14. Intellectual property
VendorMatch and its software, branding, layout, graphics, databases and original platform content are owned by us or our licensors and are protected by applicable intellectual property laws.
Except as permitted by law, you may not reproduce, reverse engineer, sell, sublicense or commercially exploit our platform or branding without permission.
15. Third-party services and links
VendorMatch relies on third-party technology and may link to external websites or services. Those services are governed by their own terms and privacy practices. We are not responsible for third-party websites, systems or services merely because they are accessible from VendorMatch.
16. Platform availability and changes
We aim to keep VendorMatch available and reliable, but internet and software services may experience outages, errors, maintenance or security incidents. We do not promise uninterrupted or error-free operation.
We may add, remove or change features where reasonably required to operate or improve the platform. If a change materially affects a paid service, we will provide notice where required by law.
17. Consumer guarantees and rights that cannot be excluded
Any exclusion or limitation in these Terms applies only to the maximum extent permitted by law.
18. Liability
To the maximum extent permitted by law, VendorMatch is not liable for the acts, omissions, services, products, representations, pricing, availability, conduct or payment obligations of independent customers or vendors.
Without limiting the previous paragraph, and subject to rights that cannot lawfully be excluded, VendorMatch is not responsible for losses arising solely from a customer-vendor transaction, including a vendor's failure to attend or perform, poor-quality services, cancellation, property damage, personal injury caused by a vendor, fraudulent payment instructions supplied by another user, a disputed deposit or a vendor's failure to refund money paid directly to them.
We do not exclude liability to the extent a loss is caused by VendorMatch's own breach of law, fraud, wilful misconduct or other liability that cannot legally be excluded or limited.
19. Indemnity
To the extent permitted by law, if your unlawful conduct, material breach of these Terms, infringement of another person's rights, or provision of services causes a third-party claim against VendorMatch, you are responsible for the reasonable loss or cost VendorMatch suffers as a direct result of that claim, to the extent caused by your conduct.
This clause does not require you to indemnify VendorMatch for loss caused by VendorMatch's own negligence, breach or unlawful conduct.
20. Disputes between customers and vendors
Customers and vendors should first attempt to resolve service, cancellation, quality, payment and refund disputes directly with each other. VendorMatch may provide communication records or reasonable platform assistance but does not act as a court, arbitrator, escrow service, debt collector or payment dispute service.
Users remain free to exercise any rights available under the Australian Consumer Law, contact their bank or payment provider, seek independent legal advice or contact an appropriate regulator or tribunal.
21. Privacy
Our handling of personal information is described in the VendorMatch Privacy Policy.
22. Changes to these Terms
We may update these Terms from time to time. The current version will be published on VendorMatch with an updated date. If a change materially affects an existing paid service or a user's rights, we will provide additional notice where required by law.
23. Governing law
These Terms are governed by the laws of Victoria, Australia and applicable Commonwealth laws. Subject to any rights to bring a claim in another jurisdiction that cannot be excluded, the courts and tribunals of Victoria may hear disputes relating to these Terms.
24. Contact
